Welcome to Reel Vendor Network! Your access to and use of our websites, including www.reelvendornetwork.com (the “Website”), including any content, functionality, and services offered on or through the website and app (collectively with the Website, the “Services”), whether as a guest or registered user, is governed by these Terms of Service (the “Terms”).

As used in these Terms, “we”, “us”, and “our” refer to Real Vendor Network, and “you” means the Real Vendor Network User (if registering for or using the Services as an individual), the business employing the User (if registering for or using the Services on behalf of a Vendor or other business).

Please read the Terms of Use carefully before you start to use or access the Services. By using the Services, you accept and agree to be bound and abide by these Terms and our Privacy Policy, found at reelvendornetwork.com/privacy-policy, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Services.

General Requirements

The Services are available only to business entities and individuals 18 years of age or older. Using the Services, you represent and warrant that you are of legal age and can form binding contracts under applicable law. If you do not meet these requirements, you must not access or use the Services.

The Services

Reel Vendor Network strives to provide its Users with a user-friendly, digital means to research and connect with professional, high-quality, and experienced vendors for the wedding industry and other important life events. We reserve the right but are not required to, subject all companies and other third parties that offer products and services related to weddings or other life events (“Vendors”) to a vetting process prior to registering for memberships or subscriptions to our Services. We also reserve the right to limit the number of Vendors that are able to register for memberships or subscriptions to the Services.

However, we cannot and will not guarantee that each Vendor submits accurate and complete information to us or the Services, including with respect to its identity and capabilities, that it has obtained all required permits, licenses or consents, or that it complies with all applicable laws. The Services may contain content provided by third parties, including materials provided by other Users, Vendors, and third-party licensors. All statements and/or opinions expressed in these materials, and all posts, reviews, responses to questions and other content, other than the content provided by Reel Vendor Network, are solely the opinions and the responsibility of the person or entity providing those materials and do not necessarily reflect the opinion of Reel Vendor Network. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

You are encouraged to conduct your own research to ensure the service providers you choose to

do business are appropriate for you. You acknowledge that the Services are not a marketplace, and any contract or other agreement made to purchase or use the services of a Vendor is directly between you and the applicable Vendor.

Accessing  the Services

We reserve the right to withdraw, disable, or amend the Services, including the Website and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services are unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Services or all of the Services.

You are responsible for making all arrangements necessary for you to have access to the Services and ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.

Registered Users and Account Security

We reserve the right to restrict some of our Services to registered users. You may be asked to register for an account or provide certain registration details or other information to access certain Services. If you register an account with us, you must provide accurate, current, and complete account information that we request, and update this information as necessary to keep it accurate, current and complete.

You are responsible for maintaining the confidentiality of your account name, password and other information you may create or be provided as part of our security features (collectively, “Account Information”). You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Services or portions of it using your username, password, or other security information. You may not sell, transfer, or assign your account to anyone else.

You are responsible for all activity occurring when the Services are accessed through your account, whether or not authorized by you. We are not liable for any loss or damage arising from your failure to protect your Account Information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security.

We have the right to disable any account or Account Information, whether chosen by you or provided by us, at any time, for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

Privacy

Our Privacy Policy describes how we handle the information you provide us through use of the Services. You agree that all information you provide us, including, without limitation, to register with the Services or through the use of any interactive features of the Services, is governed by our Privacy Policy and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

Certain features of the Services may provide a place for you to interact with Vendors or other Users. To the extent that you interact with or submit information to a Vendor or other third party

using our Services, you consent to us sharing the requested information with such Vendor or third party, and are subject to the applicable Vendor’s or third party’s legal agreements and privacy policy in connection with those interactions.

Protection of Intellectual Property

The Services, including the Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) contain copyrighted material, inventions, logos, names, phrases, computer code and/or scripts (collectively, “Intellectual Property Content”) that are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Unless otherwise indicated and/or provided pursuant to a third party license, our Intellectual Property Content is the sole property of Reel Vendor Networks and/or our affiliates, and we retain all appurtenant rights, interests and title thereto. We also claim ownership rights under the copyright and trademark laws with respect to the “look,” “feel,” “appearance” and “graphic function” of the Services, including but not limited to its color combinations, sounds, layouts, and designs.

These Terms permit you to use the Services for your personal, non-commercial use only. No right, title, or interest in or to the Services or any content on the Services is transferred to you, and all rights not expressly granted are reserved by Reel Vendor Network. You must not reproduce, copy, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as permitted by these Terms. You must not access or use for any commercial purposes any part of the Services or any materials available through the Services. Trademarks

Reel Vendor Network name, the Terms, , the Reel Vendor Network logo, and all related logos, marks, names, product and service names, designs, and slogans are trademarks of Reel Vendor Network or its affiliates or licensors. You must not use such marks without the prior written permission of Reel Vendor Network. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

User Contributions

The Services may offer Vendors and other individual users of the Services (collectively, “Users”) the opportunity to submit, post, publish, display, or transmit materials and information (hereinafter, “post”) on, through, or using the Services, including through message boards, profiles and other interactive features. Any materials and information posted on, through, or using the Services by Users through any means is “User Contributions”.

Users are solely responsible for their User Contributions. We do not control the User Contributions and we are not responsible for its accuracy or legality. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other User.

We do not claim ownership of User Contributions, however, we do require a license to use User Contributions. If you owned the User Contributions before posting them to the Services, then they remain yours subject to the rights and licenses granted in these Terms or elsewhere. By posting any User Contributions on or through the Services, you grant us, our affiliates and our service providers, and each of our respective licensees, successors, and assigns a worldwide, royalty free, perpetual, irrevocable, sub-licensable, non-exclusive, right and license to host, use, reproduce, modify, perform, display, expose, distribute, run, copy, store, publicly perform, broadcast, translate and otherwise disclose to third parties any such material for any purpose. We may use our rights under this license to operate, provide, and promote the Services and other services of Reel Vendor Network and its affiliates, and to exercise our rights under these Terms.

You understand and acknowledge that you are responsible for any User Contributions you post, and you have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. By posting User Contributions, you expressly represent, warrant and agree that you have all necessary rights in and to the User Contributes to grant the license above to us, our affiliates, service providers, and each of our respective licensees, successors, and assigns. You further represent and warrant that all persons and entities connected with the User Contributions, and all other persons and entities whose names, voices, photographs, likenesses, works, services, and materials have been used in the User Contributions or its exploitation, have authorized the use of their names, voices, photographs, likenesses, performances, and biographical data in connection with the advertising, promotion, trade and other exploitation of the User Contributions and the rights granted herein. You irrevocably waive any and all moral rights in the User Contributions. You assume legal responsibility for all User Contributions you post to the Services and will indemnify us from all liabilities, losses, or damages incurred as a result of any of your User Contributions.

Without limiting the foregoing, you agree that your User Contributions will not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms or our Privacy Policy.

Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • For the purpose of exploiting, harming, or attempting to exploit or harm any other person in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent.
  • To impersonate or attempt to impersonate Reel Vendor Network, a Reel Vendor Network employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Reel Vendor Network or users of the Services, or expose them to liability.

Additionally, you agree not to:

  • Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services, including their ability to engage in real time activities through the Website.
  • Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Website.
  • Use any manual process to monitor or copy any of the material available through the Services, or for any other purpose not expressly authorized in these Terms, without our prior written consent.
  • Use any device, software, or routine that interferes with the proper working of the

Monitoring  and Enforcement; Termination

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates these Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for Reel Vendor Network.
  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services.
  • Terminate or suspend your access to all or part of the Services for any or no reason, including without limitation, any violation of these Terms of Use.

Vendors

If you are accessing or using the Services as a Vendor, including through a registered account, thank you for being a part of the Reel Vendor Network!

We may offer paid memberships or subscriptions for Vendors, which may be subject to additional terms and conditions described in any vendor subscription agreement other written agreement between the applicable Vendor and Reel Vendor Network (each, a “Vendor Agreement”). Any Vendor Agreement entered into by and between you and Reel Vendor Network is hereby incorporated into and subject to these Terms.

In addition to the terms of set forth above in these Terms, you expressly agree to the following terms and conditions.

Acceptance. If you are agreeing to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms, and in such event, “you” and “your” refer to that company or legal entity.

Endorsements. The Reel Vendor Network is not an agent or representative Vendors, and we will not endorse you or your products or services. We are in no way responsible for promoting you or your business, helping you to reach agreements with clients, or assisting you in providing products or services to your clients.

Confidentiality. From time to time during the Term, we may disclose or make available to you information about our business affairs, products, services, intellectual property, trade secrets, third-party confidential information and information that by its nature and the circumstances of disclosure should be considered sensitive, proprietary, or confidential (“Confidential Information”). You agree to use our Confidential Information solely as necessary to perform your obligations under these Terms and in accordance with any other obligations in these Terms. You agree that you will take all reasonable steps to protect our Confidential Information and prevent the duplication, disclosure or use of any such Confidential Information, other than (i) by or to your employees who must have access to such Confidential Information to perform your obligations hereunder, and who are required to treat our Confidential Information as provided herein; or (ii) as required by any law, regulation, or court order, provided that, you will provide us with prompt written notice of any such requirement to afford us the opportunity to ensure that any disclosure is accorded confidential treatment.

Vendor Trademarks. You grant us a non-exclusive, transferable, sub-licensable, worldwide rights and license to use the names, trademarks, service marks and logos associated with your business or services (“Your Trademarks”) to operate, provide, and promote the Services and to perform our obligations and exercise our rights under these Terms. This license will survive any termination of the Terms to the extent that we require the license to exercise any rights or perform any obligations that arises pursuant to these Terms.

Vendor Obligations. As a Vendor, you are responsible for your account, the User Contributions you post to the Services, the goods and services you sell, and your relationship with your customers. We reserve the right, in our sole discretion, to suspend or terminate any Vendor’s account or access to the Services, in the event that we reasonably believe that a Vendor has violated these Terms.

You expressly represent and warrant to the following:

  • You will ensure that all information you post the Services is true, accurate and correct, including the name of your business. You will promptly update the Services in the event of any change to your business name or information.
  • You have and will maintain throughout the Term all necessary qualifications, rights and licenses, including business licenses and professional licenses, to provide any products or services that you offer or sell to consumers.
  • You will not use the Services for any illegal or unauthorized purpose, or to solicit the performance of any activity that is unauthorized, unlawful or infringes the rights of Reel Vendor Network, our affiliates, service providers, or third parties.
  • You are solely responsible for the goods or services that you may post to the Services, including compliance with any applicable laws or regulations. Your goods and services, including the advertising and promotion of the same, will not violate any applicable

domestic or international laws, statutes, ordinances, rules, or the rights of any third parties.

  • You will not commit any criminal act or other act involving moral turpitude or felonious activities, or become involved in any situation or occurrence which could reflect unfavorably upon Reel Vendor Network or its affiliates.
  • You will promote, offer, sell, and perform your goods and services in a professional manner in accordance with industry best practices for experienced and professional vendors in your line of business.
  • You will not disparage any other User of the Services, including other Vendors, or discourage any users from hiring other Vendors.

Linking  to the Services

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part.

You agree to cooperate with us in causing any unauthorized framing or linking immediately to stop. We reserve the right to withdraw linking permission without notice. We may disable all or any links at any time without notice in our discretion.

Links from the Website

If the Website contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked through the Services, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Indemnification

You agree that you will be responsible for your use of the Services, and you agree to defend, indemnify, and hold harmless Reel Vendor Network, its affiliates, and each of their respective officers, directors, employees, contractors, consultants, agents, successors, and assigns (collectively, the “RVN Entities”) from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms, including, but not limited to, your use of the Services or any use of the Website's content, services, and products other than as expressly authorized in these Terms; (ii) your User Contributions; (iii) your violation of any third party right, including without limitation, any intellectual property right, publicity right, or privacy right; and (iv) any disputes or issues between you and any third party. Without limiting your indemnification obligations, we reserve the right, at our expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

Disclaimer of Warranties

YOUR USE OF THE SERVICES, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. YOU UNDERSTAND THAT THE RVN ENTITIES HAVE NO OBLIGATION TO MONITOR, CONTROL, OR VET THE CONTENT OR DATA APPEARING ON THE SERVICES, INCLUDING THE WEBSITE. THE RVN ENTITIES MAKE NO CLAIMS OR PROMISES ABOUT THE QUALITY, ACCURACY, OR RELIABILITY OF THE SERVICES AND EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation on Liability

Governing  Law and Jurisdiction

All matters relating to the Services and these Terms will be governed by the laws of the State of Rhode Island, without regard to conflict of law principles.

Any legal suit, action, or proceeding arising out of, or related to, the Services or these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Rhode Island. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
